Analysts: Conditions "onerous" but won't kill Sirius-XM deal

Responding to Commissioner Adelstein's stronger conditions for approval of the Sirius Satellite Radio Inc. and XM Satellite Radio Holdings Inc. merger, analysts say the demands won't derail the deal.

"These do seem to be onerous additional conditions," said Miller Tabak analyst David Joyce told the Associated Press. "I don't think Sirius will walk away. I think they will still work on negotiating the conditions."

Joyce said Adelstein's requirements would be easier for Sirius-XM if they are compensated for setting aside the 25% of capacity as asked.

"Six years sounds a little egregious, depending on what conditions Sirius are attached," said Kit Spring, an analyst at Stifel Nicolaus & Co. Still, Sirius "may be amenable if it's a price freeze with a certain inflationary adjustment."

Spring said if the companies agree not to raise prices for six years, he would have to reduce his projecting $5 billion in annual savings and synergies.

Unsurprisingly, Adelstein's requirements echo those of Rep. Markey, the influential Democrat who coincidentally asked for similar concessions from the FCC on Tuesday. Apparently it's all politics afterall.

Why would anyone want to own shares in this? Independent companies, yes, I can see that. Merged? I simply see too many restraints.
But I am sure Mel is so anxious to get to XM's OEM contracts he will do anything. After all, he will walk away with millions whether it works or not.

What I don't understand is that with 25% is this:

If the deal causes a 25% loss in spectrum, we LOSE 1 out of 8 channels right now. How does that help consumers?

I would think they would Count the current Public interest channels and ax those stating due to NAB you loose all the NPB and shit for these crappy mexican music stations

Well.... Here's the thing.... Georgetown, and all these OTHER little "MINORITY" companies, DID NOT pay an absorbent fee to purchase these frequencies. From what I read, NAB had basically screwed this whole process right from the beginning of the auction of the frequencies in the first place....

mp3 is the future and a valid opponent to satellite. Just approve this merger already and be done with it. To the guy that said Sat radio needs to start over, the mistake they have made is in giving big names ridiculous contracts too soon instead of building a name for themselves first then getting the talent and I imagine those sports deals aren't cheap either. Commercial radio blows and I don't listen to it anymore. I also have not heard anything except bad things about HD Radio. All this said I want satellite to succeed and am rooting for it.

Let's have some meetings and hearing to discuss this.

In order to get an idea of what Sirius and XM have invested in 25% of their spectrum I added each company's revenue from 2002 to 2007 which amounted to $4,866,258,000. Since neither company has posted a profit I also added their combined total debt of $2,960,000,000. Combined, this equals $7,826,258,000 and 25% of this figure is $1,956,564,500.

Senator Markey and Commissioner Adelstein want Sirius and XM to hand over 25% of their spectrum in which these companies have invested $1,956,564,500 since 2002. This figure does not even include the money invested into the spectrum from 1997, when Sirius and XM paid the highest bid during the open auction for this spectrum, through 2001. I believe 8% of the spectrum being reserved for non-commercial programming is more than enough. Currently, this would equate to approximately 24 channels. Using my calculations, Sirius and XM have invested $626,100,640 for this 8% of spectrum, not to mention how much future revenue this would cost the company.

I learned more about politics following this merger than I ever did in college.

The 25% of the total channels versus a straight 74 channels means that as Sirius figures a way to carry more channels on the carrier signal they would automatically have to turn over 25% of those new channels to Georgetown Brothers, etc. Those guys would not pay a dime in R & D, but like welfare they would show up in time to pick up their new free channels. As some people have mentioned they should at least be required to pay something for the channles that they are using.

Tate would vote 'yes', with less stringent restrictions if Adelstein had not done this. NOW, she can say 'no' is the pressure was so great and not have to feel responsible for the deal falling thru...because it will still go thru, just with great restrictions.

I will be honest and tell you when I first heard of HD Radio I was skeptical. I've never heard anyone except you say anything good about it. Everyone complains about the lack of content, the abundance of commercials and the weak signal reception. There was absolutely no way I was ever going to submit to HD Radio if I could not hear the lack of content and commercials clearly. Then I came across this article which I believe will solve HD Radio's reception problem. I have posted the links to these articles. Hopefully, this will help other HD Radio owners.

Folks, only a portion of the 75 channels would be nonprofit. The balance would be minority channels that WOULD be for profit and the minorities would get those for free. On top of that, they would not pay any fees for satellite maintenance or upgrades because it would be free to them. It's like their receiving an ATM card that they can use any time they want, not need, money. And who would pay for all that you ask. The investors, of course. Sheeeeeeeetttt!
