DONE DEAL: Sirius XM Radio Inc. and Liberty Media Corporation have reached an agreement in which Liberty would invest an aggregate amount of $530 million into Sirius XM, in return for an equity stake in the company.
The investment will be provided in two separate phases:
Additionally, Liberty Media will receive seats on the Board of Directors. It's expected that John C. Malone (pictured, left) and Greg Maffei will be seated.
It's important to note that this agreement does not constitute a "change in control" for Sirius XM and are not subject to the approval by the FCC.

"Sirius XM's ability to grow subscribers and revenue in a difficult financial and auto market is indicative of how listeners view this as a "must have" service."

- Liberty will loan Sirius XM Radio $280 million; $250 million of which will be funded today. The loan will bear an interest radio of 15% and come due in December 2012. This loan will save Sirius XM Radio from bankruptcy.
- The 2nd phase will be a loan of $150 million to XM Satellite Radio (Sirius XM's wholly owned subsidiary). Liberty has also agreed to offer to purchase up to $100 million of the loans outstanding under XM Satellite Radio's existing credit facilities.

As "leader of the pests", you likely haven't heard this: Stern will NOT take a significant "paycut". He's said this himself, that there's no negotiating.
With the terms of the deal and the prefered stock amount, there is a suggestion that the reverse split may be about 180-200 to 1. I'm not saying this is it, but it would make some sense. I just did the calculation of 3.4 billion shares outstanding now, plus 12 million future shares (as x) would make up 100%, and then 40% of those would be (x)... if you do the math you get x to be about 2.26 billion shares, but since they are giving 12.5 million, the conversion is 181 to 1.
I thought about about getting direct tv many years ago BUT I am a hockey fan in Comca$t country soooo no dice. That is why their market share is so large especially in philly.

Read the 8-K. I don't think the 12.5M preferred shares are a done deal. Mel has not committed to that yet. How could all of the media have gotten that wrong. Unless I am wrong, but I don't think so.
There are some really misguided people in these comments-
1) Mel isn't going anywhere. He is the reason the company is not in bankruptcy. Those that say otherwise know NOTHING about business. Gone in 90 days? I'll take that bet in a heartbeat.
2) There is significant dilution, but Mel just saved you 60%. This company was headed to bankruptcy court at which point the equity holders would have been wiped out.
3) We don't know what Ergen's offer was- but you can be assured it was worse. He was trying to force Sirius into bankruptcy so he could control the company afterward when the equity holders (the common stock holders) would have been wiped out. No way he would suddenly offer the common stock holders 60% of this company.
4) This company is worth more than its current value. Do you think Malone would invest more than half a billion dollars into Sirius if he didn't believe they would make money?
Mel is a genius. Its just a shame that the economy cost Sirius/XM 40% of its value.

I can see Oprah, Martha and the Foxxhole being terminated. They bring nothing to the table. Springsteen is temporary, but he does have a huge following. O&A will only be brought back if they're cheap as they've proved (judging by their awful morning testicle ratings) that their appeal is limited at best to a few fanatics who don't leave their mom's basements. I doubt Mel cares all that much about them one way or the other.
I can see them keeping some of the more affordable personality-programmed channels and shows like Bob Dylan, Willie's Place and Underground Garage.
Baseball will be renegotiated, but it'll be reupped, somehow. Same with the NFL (though I wonder how this deal with Direct TV/Liberty will affect that).
Stern will remain untouched as long as Mel's in charge. His is the most listened to station on SatRad and it would be corporate suicide to let him go during these very unstable financial times. I had DirecTV for years, dropped it for Verizon FIOS last year, and I am glad I did. Picture quality is much better on FIOS for SD channels and their HD pictures are true HD, not compressed like DirecTV's.
Only thing I miss is their Tivo! I don't miss hanging out the 2nd floor window when we have a sticky wet snow to clean the dish off in order to get our picture back.

Liberty now owns 40 percent of the common stock of Sirius so that's 40 percent that current stockholders own now. But I guess owning 60 percent of a stock that has some value is better than owning 100 percent of nothing.

Simply put, this is one of the worse run companies... their "customer service" sucks in that they have no customer service. What further evidences this is the fact that after March 11th, online listening costs $2.85 more. Now they try to justify this decision by saying it is better quality listening, which is simple bullshit.
The only option the offer the consumer is to re-negotiate and commit to a yearly contract, which requires up front payment... and they offer no alternative payment options (quarterly billing).
Plus, I have an XM and Sirius subscription but they offer no "second subscription" discounts although they are a merged company.
Their policies and service simply suck....
Mel is not the problem.
It's his management team. Lesson... look at IPOD. Cool hardware. Keep preaching content, when consumers want COOL hardware. You have the bandwith... how about a wireless ITune? The beauty of Sat radio is that there is something for everyone...Stern or O &A...I don't have to choose because I get both! I had to listen to 2 painful days of terrestrial radio until I could get my new receiver in...I don't want to settle for 18 minutes of commercials each half-hour and all the static of the old AM days...I'm rural so it sucks. Long live Sirius XM and may we all get what will make us happy.
Does this mean THe Virus will be back on DirecTV???

I hear you, man! I was without my sat radio one afternoon, and I swear to God I almost thought I was going to die without it. I turned on some FM, and the first thing I got was a six minute block of commercials. Then when that was over, I got 5 minutes of banter from a desperate to be witty DJ and his desperate to sound coquettish air head bimbo sidekick broad. She was one of these little teases that is simultaneously putting out a vibe of "please, please do me... but don't touch me." After that borefest, they played some Kenny Rogers and the band Toto. That was followed up with some Christopher Cross, then some James Taylor, and then some Neil Diamond. At this point, I couldn't take it any more; just as I went to turn off this shit, they started playing more commercials! On it's worst day EVER, satellite radio will never be as horrifically bad as this, I thought.
Like you said - IF, and that is the key word, IF they would ever give us what we want, then people will respond and subs will grow. Nobody gives a damn what the delivery method is, but a lot of people give a damn about the quality of the content. Wouldn't you think the management would get this through their thick sculls!
