Georgetown Partners teams with broadcasters against Sirius, XM merger

Chester DavenportGeorgetown Partners is working with terrestrial radio broadcasters urging the Federal Communications Commission to deny the Sirius-XM merger, or have it reworked to be in favor of the minority-owned firm's own proposals.

Chester Davenport (pictured), managing director at Georgetown Partners, was joined by Walter Ulloa, Chairman and CEO of Entravision Communications Corporation - a broadcaster that primarily targets the Hispanic community - in separate meetings with two FCC Commissioners late last week.

FCC Commissioners Michael Copps and Jonathan Adelstein met with the Davenport and Ulloa, according to recent filings, and were encouraged to "outright reject" the merger between Sirius Satellite Radio Inc. and XM Satellite Radio Holdings Inc.

"The parties should not be permitted to change the rules and reap the financial windfall of a monopoly when they paid the U.S. Treasury only for a license that precluded merger with the only other SDARS competitor," writes Georgetown Partners is a highly-detailed filing.

Georgetown Partners and Entravision even cited the (flawed?) Arbitron numbers, stating that the elimination of channels from Sirius-XM's lineup to accommodate Georgetown's lease proposal of 20% of spectrum "would affect just 2% of [Sirius-XM's] listening audience" due to the high concentration of listeners "around a relatively small number of channels."

Additionally, the Georgetown and Entravision cited Mel Karmazin's statement that Don Imus would be welcome on Sirius following his "offensive racial comments" - even though Imus never actually violated any FCC regulations.

IMO XM and Sirius should give them 15% of the spectrum ..lock stock and barrel with the condition its used within 2 years. If not the spectrum is returned. Then XM and Sirius shut down all transmissions in that spectrum and georgetown partners would need to launch satellites, build studio's set deals with record companys , get content, get the broacasting infrastructure in place, get repeaters. All XM and sirius would need to do is allow the receivers to continue to receive the stations.

Then we can all sit back and watch this unfold....

It's well known satradio business plans are not feasible, with shutdown to follow and then the sat's used as target practice for the Navy.

When I opened my brokerage accounts I never answered any questions regarding my race or color. Sirius is a public company. As such, it already has a certain percentage of minority ownership. So the truth of the whole situation does not boil down to media ownership. Because for all anyone knows, sirius may already be 50% minority owned. No one knows the percentage. Probably because this is America.

So if its not about minority ownership, what is it about? Ah! A minority PLATFORM! That's right folks. They want to be heard! They want the spotlight. This has nothing to do with ownership. Let's face it. There is no owner in this situation but you and I. The shareholders. Are they going to draw huge sums of money? Probably not. So the motive. A platform, where political candidates can reach out to the minority VOTER.

This demand for spectrum is coming from the democratic side of the aisle. The democratic base is heavily favored with the minority population. They must feel they have found a way in an election year to reach the O'bama base.

I find it odd also, that these same congressional representatives have no problem with the 4% ownership currently allocated on terrestrial radio. Sirius - Xm has already offered to more than double the percentage currently offered by the hands that feed the NAB. Yet these democrats have chosen to involve themselves in such a ludicrous cause instead of high oil and gas prices.

If minorities seek a higher ownership percentage, they should simply buy the stock of satellite or terrestrial radio stations.

One poster on a message board equated this nonsense with plumbing. Should we seek a mandate ordering more black people to own plumbing businesses because only 1% of black people choose to be plumbers? They wouldn't do that because it would offer no political gain.

Don't walk away Mel... that's what they want you to do. Make the FCC swing in the wind and sweat bullets being stuck between a Congress on one side, and the people on the other.

I personally think a decision is very near, even possibly today. It will include a 6 -10% forfeiture of spectrum which is acceptable.

With all due respect Liam, Mel *IS* a expert businessman. *BUT* he almost singlehandedly destroyed terrestrial radio as we once knew it in the 60's and 70's.

Terrestrial today is a barren wasteland of commercials, constant repetition and lousy content, and this was due to Mel's scheme to get as much revenue he could. Sure he made his company huge, but at listeners' expense.

His desperation to merge with XM is a testament to his legacy on what he will do with satellite once he gets his wish.

It is nothing more than Mel wanting to line his pockets and his constituants with money, at the expense of a great service. His legacy has proven this already.

They now "pretend" that additional consolidation in SDARSis in the public interest, Yet, in reality, the only "interest" they are interested in promoting, is their own "financial interests".

They are willing to endorse the exact consolidation process, "and person largely responsible" for that consolidation process, that yielded "horrible terrestrial radio", However, in exchange for their endorsement, they expect to be "financially rewarded" for endorsing a process that is clearly not in the publics interest, but more so in the interest of their back pockets.

There's no point in explaining to you why these two companies need to merge because: 1.) You actually work for the FCC. 2.) You're affiliated with the NAB. 3.)You work for some doohicky mom and pop AM or FM terrestrial radio station, and figure that there's no way out or up. Anyway no one has proven what would be wrong with this merger. There's no downside. All the downside has already happened. They both need to merge so they can become stronger. Consumers and investors will all come out ahead.

Not exactly. The NAB has really could care a less if these two companies merge for operating efficiencies. They have received DOJ approval and they are free to merge away. But, you see. There is a little hitch in the plan. You see, they want to take all of the combined spectrum from the two companies with them. If they want to merge.. All they have to do is leave one of their spectrum licenses at the door. Seems pretty simple really. But, they don't want to do that. They want a "SDARS Spectrum Monopoly". That's the issue with that the NAB has with the entire request.

The truth of the matter. Is that the management of both of these companies have acted in collusion against the "Public Interest" by refusing to follow the dual mode (interoperable) receiver mandate attached to their FCC licenses. The companies claim that they made a "interoperable receiver" available to manufactures, but no one was interested in producing it, because neither company was willing to provide a subsidy for a radio that the consumer could switch to the other company when one company provided a subsidy on it??

This argument holds little water. After all, they produce radios at retail and provide subsidies for a radio that can walk out of the store and never be activated at all.

This is not rocket science. Both TMobile and ATT use the same technology. But, TMobile does not provide a subsidy on a user terminal UNLESS the purchaser signs up for a two year contract, along with a early termination payment if the subscriber deactivates their account before the two year contract expires. The two year contract basically is a format that guarantees that the will recover their subsidy and other components of CPGA.

The biggest problem with XM and SIRI is that they are unable to demand a contract in order to provide a subsidy. Simply because there is no large scale demand for the product to begin with. So the companies have resorted to basically paying potential subscribers to try the product. Free Radio, Months and Months of FREE SERVICE for the OEM promo subs. But, even after this.. Only 53% of these FREE TRIAL SUBSCRIBERS agree to pay for the service in some form. Then on top of that, on average 23% of those 53% deactivate in the first year.

It's amazing that Mel told Congress that no one wanted a dual mode radio. But, since the merger was approved, suddenly every member of the Satellite Radio Shareholders Special Interest Groups claim that can't live without one.

The truth is.. There is not even one "public interest" issue associated with this merger that could not be accomplished without a merger.

PS there are millions upon millions more listening to AM/FM than satradio will ever have. As the article points out those AM/FM listeners will migrate to HD Radio at their pace, thats one of the points of HD Radio, it's there already and will be there when analog is phased out. HD Radio is also gaining market share due to Melvin Alan "Mel" Karmazin's "merge" scheme as educated consumers don't like being lied to, and don't like supporting monopoly's.
