
Mel Karmazin, CEO of the newly formed Sirius XM Radio Inc., will be making the rounds today with two of the leading talkers on the combined satellite radio company, reports FMQB.
His first stop will be on The Howard Stern Show, where I'm sure he'll answer many questions about the merger and how it will affect the fans.
Then Mel Karmazin is expected to make his way to The Opie & Anthony Show during the 9am ET hour. Since O&A's contract still hasn't been renewed, "fans should finally get the answers they have been looking for," writes FMQB.

XM Announces BuyBack On 9.75% Senior Notes

In an interesting move that will further help clean up the merger process, XM Satellite Radio Inc., a wholly-owned subsidiary of SIRIUS Satellite Radio Inc., announced today that it is offering to purchase for cash any and all of its outstanding 9.75% Senior Notes due 2014 (CUSIP No. 98375YAS5) (the “Notes”), on the terms set forth in the Offer to Purchase and Consent Solicitation Statement dated July 29, 2008.
The tender offer will expire at 12:01 a.m., New York City time, on August 27, 2008, unless extended. The total consideration for each $1,000 principal amount of the Notes validly tendered and not withdrawn will be 100% of the principal amount of the Notes. Holders whose Notes are accepted for payment in the tender offer will also receive accrued and unpaid interest up to, but not including, the payment date, expected to be promptly after the offer expiration date.
XM intends to use cash on hand to facilitate the purchase.

Actually, no -- I will try and explain everything one final time as best I can...
XM had about $1.5 billion in puttable debt -- which means, if XM changes control, the debt holder could force the company to buy back the debt. So XM had to refinance almost all of their debt...
Incedentally, Karmazin had nothing to do with the refinancing, as the companies had to sign confidentiality agreements to keep each others "business" and "finances" away from each other until after the merger is consumated. So while Mel was probably aware of what XM was doing -- he was not the facilitator, as that would be against the law.
First, XM offered an increase in the interest coupon on their $400 million in 1.75% convertible notes that mature in December 2009 -- up to 10%. Those holders agreed, so XM changed the indenture on these notes.
Second, XM offered to repurchase $400 million of their $600 million in 9.75% Senior Notes with cash... and issue a "new" exchange note for the final $200 million, which would have an identical coupon of 9.75%.
To come up with the $400 million in cash, XM did a new debt offering. There was one stipulation -- and that was, if this new note offering exceeded the $400 million, then every dollar higher had to be used to repurchase the remaining 9.75% notes. We since learned that this debt offering went really well -- and was "oversold" all the way up to $700 million. So XM had to use $600 million of it to buy back all of the $600 million in 9.75% Senior Notes. The problem here was that the coupon on these was run up to 13%... ouch. But these are tough times... so instead of $600 million at 9.75%, they now have $700 million at 13%.
There was no interest rate at 15% or 16%. That was a misunderstanding by many who mistook the discussion of the Yield to Mature, as the interest rate. The YTM will almost always be higher than the interest rate. In fact, the new Senior notes above have a coupon of 13% and a YTM of 16%.
Third, XM put together their final piece of refinancing -- by issuing $550 million worth of new exchangeable notes (aka, convertible notes). Problem here, is that most buyers of convertible notes are Hedge Funds -- who short the common stock agains the purchase of the convertible debt, in an arbitrage investment play... but Sirius is on the REG SHO list and has no shares available to short. So XM got Sirius involved, to "lend out" up to $440 million worth of their shares to the Hedge Funds, so that they can short the common against their Debt purchase. Without Sirius lending out these shares, the interest in buying this debt would drop greatly -- and cause XM to lower the conversion price and increase the interest rate offer on them.
So today we learn that they priced the conversion price of the convertible debt at $1.875/share; and priced the offering price of the loaned out shares to be sold at $1.50. This combination allowed XM to get an interest rate of 7% on this new $550 million in debt.
This $550 million will be combined with the remaining $100 million from the other debt placement -- and used to buy back the $200 million in Floating Rate debt; and $310 million that is owed on the Transponders of XM-4, which were sold last year in the leaseback agreement.
This leaves XM with $140 million remaining -- which I believe XM is using to replenish the $120 million in cash that XM used to deposit in their MLB escrow account.
All money raised in these two offerings has now been used to refinance/buy back older debt.
Classy move by Mel
I am hoping that this means both Stern and O&A will be able to co-exist on the same service. I can't imagine that if O&A were not going to be part of Sirius XM, Karmazin would not be making an appearance on the show. Must be contract negotiations are ongoing, or maybe done.
I know Stern and O&A fans are not the best of friends, but I hope this is a step in the right direction fir the two shows, even though the fans will continue to hate one another. I am looking forward to being able to listen to both.

In all likelihood, the stock will fluctuate between $1.50 and $1.87 for few weeks until a few more positive ANALysts weigh in. The only notable thing came at the very end Karmazin said that employees have nothing to worry about" and they have "a huge facility with 1,000 employees in Washington DC that they will keep operating". Yeah right. That's Cumulus and ClearChannel talk right there which means a fire sale is inevitable. He's meeting with employees at 10:30am EDT today to discuss things. Probably one of those reassuring talks like "you have nothing to worry about...it's a great time to be in satellite radio...you are here because you are important to this new combined company...and so on." Meanwhile, Hurricane Karmazin keeps swirling around along the East Coast.
Now we'll see what he has to say on O&A during the 9:00am EDT hour.

As the purchase of XM Satellite Radio by larger rival Sirius Satellite Radio closed today, questions remained over whether the combined company can handle its $3.4 billion in debt — including $1.1 billion due next year.
Also murky was how quickly the two companies can mesh their technologies without angering consumers.
Most radios that play programming from Sirius and the former XM Satellite Radio Holdings are sold for cars, in before- or aftermarket installations, and automakers are notoriously slow to integrate new audio technology.
The nation's only two satellite radio companies have combined to become Sirius XM Radio, based in New York, and trades under the ticker symbol SIRI, which used to belong to Sirius. Mel Karmazin, the chief executive of Sirius, will take the same position at the new company.
Investors sold off Sirius shares today at their lowest price in nearly five years.
"The new company is going to face a lot of hurdles, both operating as well as financing," said Tuna Amobi, a Standard & Poor's analyst in New York.
He was disappointed by Sirius' accumulation of 280,000 net new subscribers for the second quarter, not as robust a figure as he had hoped for. Amobi is also concerned about higher interest payments.
Sirius' $1.3 billion of debt hasn't changed, but XM has taken on more debt and replaced some existing debt with other borrowing that carries much higher interest rates. XM has $2.1 billion in total debt, up from $1.7 billion at the end of March, according to company filings with the Securities and Exchange Commission.
Analysts had been counting on savings from the combination to offset higher debt costs, especially since neither company has ever made an operating profit.
While Sirius expects to save $400 million and post adjusted earnings before interest, taxes, depreciation and amortization of more than $300 million next year, its comments about free cash flow troubled analysts.
Sirius expects to post positive free cash flow in 2009 but only after excluding satellite capital expenses. That implies its free cash flow will be negative if satellite expenses are included, said Shilpa Parandekar, senior bond analyst at Moody's Investors Service in New York.
She also noted that about $1.1 billion of debt is due in May 2009. Both companies' credit ratings are under view for a possible downgrade.
"We felt the momentum was downward," Parandekar said.
As they waited one and a half years for regulatory approval, the companies also have remained silent on many of the details of how they would combine their programming.
One known consumer benefit is the new ability to pay for only the channels one chooses, known as a la carte programming.
That service will require new or modified radios, and executives promised to sell such radios available at retail within three months. But most new satellite radio customers don't buy their radios at retail because they come pre-installed in automobiles.
The companies haven't offered a timeline for automakers to install radios that allow a la carte programming, said Bob Williams of the Consumers Union, which opposed the merger.
"The (satellite radio) industry has a history of promising things and then letting it go by the wayside," Williams said.
Nathaniel Brown, a spokesman for XM, declined to comment on programming. But the company has said several new options, including a "best of both" service for $17 a month — compared to the current price for one of the services at $13 a month — will be available to customers with older radios.
Sirius and XM have refused to say which programming that service will include.
For instance, there is no guarantee that Howard Stern will be available to XM customers or that Sirius customers will see Major League Baseball games.
Combining all sports programming onto one network could prove difficult. For example, XM provides NHL coverage and Sirius coverage of the NBA. Because those seasons overlap and so many games are played every night, it may prove difficult to find bandwidth to broadcast every game.
Also, while it may seem obvious that the new company would include popular programming like Stern's show or Major League Baseball in its "Best of" package, XM and Sirius never disclosed whether the contract with Stern, for example, would require higher payouts if more people can hear him.
So the new company's costs could rise if it makes its top-tier talent accessible on both services.
Williams said such unanswered questions ought to compel the FCC to regulate the companies closely as it moves forward.
"It really calls for the FCC to not just sit on the sidelines," he said. "We don't have much reason to think they actually will get involved, but they really need to be on the case."

I wish I could have heard Mel on Sterns show because this interview on OnA is great. It sounds as if their talk shows are what Mel really wants to push so why would OnA and RnF be canned? Hell, why even can Bubba? I'm still nervous and will be so until I find out that OnA and RnF are safe. Also, I want to add Sterns channel when that's available too.

I only caught the end of Mel's interview on O&A...Thought it went well. Mel gave us hope on O&A being kept, and I got the impression that, if nothing else, we might be able to get SOME NFL content on XM in the near future, even if we don't get all the games...That might not be too bad. Looking forward to catching the beginning the interview from the beginning during the reply tonight.

Scott is right. I listened to them on Testicular before they moved to XM and now I hear them through Directv and they are my number 2 choice behind Howards show and attimes tied or ahead. I have what I consider a good sense of humor and the only show that I don't care about is Ferrell but then I don't care about sports. There is something there for all of us that have Satellite so just listen to what you like and give the others a chance when you feel like you can.I still find it tough to listen to O&A without Norton when he's not in and it took me a long time to listen to Bubba but they also have their moments and I'm glad that I wasn't closed minded . Long story short, they all suck at times but they all are capable of shining at times too. They are there to try to make us laugh.

If you listened to Mel on O&A, he made it clear that he was all about the 'unique content'. While he did say that he wasn't in favor of someone like Bubba going to terrestrial radio, there wasn't much they could do to accommodate him, financially, to meet his 'needs'. The compromise was that he makes his extra money in terrestrial in Tampa.
So then why exactly would he turn around, keep Bubba, and cut bait with O&A who are ten times more talented and make ten times more money for him...? Bear in mind, Stern brought Mel to Sirius, not vice versa - even his junk channel outscored O&A in the Arbitron ratings - they aren't changing the manhattan office's drapes without his 1/2 billion dollar plus stock say so, let alone his channel content no matter how crappy it is - Mel was begging his "hack" ass for a lifetime contract. That being said, I hope Mel does make a deal with O&A, even Ron and Fez, whoever the hell they are - and they hafta work something exclusive with Bubba - exclusivity is the key to this whole satrad thing, and the more diverse content the better - an exclusive lockup with that fatshit oxycontin eating Lord of the Dittoheads would really seal the deal.
