David K. RehrFCC Commissioner Deborah Taylor Tate's presumed vote in favor of the Sirius Satellite Radio Inc. and XM Satellite Radio Holdings Inc. merger may not bring an end to the 17-month merger debacle.

According to a former trial lawyer for the FCC, the National Association of Broadcasters (NAB) can still file an appeal in an attempt to delay the process even further.

"The merger may be approved, but it's not over until it's over," Jerome Boros, a partner with Bryan Cave LLP who formerly served as a trial lawyer for the FCC, told MarketWatch. "Among several things that could still happen; the NAB could file an appeal with the D.C. Court of Appeals."

The U.S. Court of Appeals for the D.C. Circuit has the power to block the FCC's decision - that is, if it sees grounds to do so, according to Boros.

But blocking the deal may not be the strategy, delaying it might be enough.

"The idea behind an appeal is that it would buy time," he said. "If the Democrats win the presidency in November, you'd have to figure Martin would be out and you could have a Democratic majority on the FCC."

The NAB might try, probably will, but to stop the merger they will need the Court to grant an injunction immediately otherwise Sirius will close the merger. Once closed it will be virtually impossible to block it. With both the DOJ and FCC approving it the lliklihood of the court granting an injunction more than a couple of days is virtually nil.

Well, the ARRL took the FCC to court over interference to their receivers and won, but the DOJ has already ruled in favor of the merger, so that would seem to be a huge hurdle to overcome. No doubt, the NAB/iBiquity/HD Alliance scumsucks will go to court.

XM Satellite Radio Holdings and Sirius Satellite Radio appear to be finally approached the end of their now 520-day slog to merge with today’s news that the Federal Communications Commission has reached an agreement to approve the deal.

Sirius CEO Mel Karmazin probably just wants to celebrate.

But is that the end of the story? For the opponents of the deal — who are legion — there are still a few avenues of opposition. Deal Journal talked to Bryan Cave LLP lawyer Jerome Boros, who specializes in communications law and was a former trial attorney for the Federal Communications Commission. Here are the three ways that opponents can register their dissatisfaction.

*Appeal the decision to the FCC: Opponents can file a petition to stay the Commission’s order of approval, which would essentially cause the Commission to reconsider the deal. However, with a hard-won 3-to-2 vote like this one, that was heavily negotiated, the Commission isn’t likely to second-guess itself, Boros warned.

*Push anti-deal legislation: Truly committed opponents can push Congress to pass legislation to overturn the FCC’s decision or aspects of it, Boros said. Again, the chances are slim: he put the odds at 500 to 1.

*Take it to the courts: Opponents of the deal can take their issues to the U.S. Court of Appeals, which could consider any strong legal objections to the deal. (For instance, on antitrust grounds). This is best as a delaying tactic. It would take time for the appeals court to consider the decision and kick it back to the FCC. In that time, it is possible that a new president will be in office and that he will want to appoint his own nominees to the FCC. With a different makeup–for instance, Boros quipped, “a flaming Democrat”–the FCC could potentially decide the deal differently.

NAB has no "standing" to sue. A broadcaster would have to sue and in doing so would have to admit they are in competition with satrad---which then kills their case.

Also, an FCC decision would only be overturned if it is found to be arbitrary and capricious. The record in this case and the split vote means it was not.

Something I never understood about the NAB's fight against the merger: the "seemingly" were fighting for the consumer. In fact, their anti-merger site, XMSIRIUSMonopoly.org, states "A Merged entity could raise fees, limit programming choices and be harmful to consumers."

Wait...you mean, AM/FM listeners looking for something more than terrestrial radio? They might have to pay more for satellite radio if the companies are allowed to merge, possibly making less consumers subscribe to satrad??

Finally--people realizing this!! Merger cannot be challenged!!! Appeal of DOJ decision cannot be challenged! Ship sailed. Only thing that can be appealed is the license (and not by NAB)tranfer. A court would have to find that the FCC acted in an "arbitrary and capricious" manner. That will never happen with the record developed in this case and the split vote--this is a NON_ISSUE. The delay tactic would be futile. If the appeals court rules that there is no case, the original vote stands regardless of the new makeup of the FCC in 2009.
