NAB's David Rehr met with FCC Commissioner

David RehrDavid Rehr of the National Association of Broadcasters spoke with FCC Commissioner Robert McDowell about the merger between Sirius Satellite Radio Inc. and XM Satellite Radio Holdings inc. late last week.

Rehr went over the same talking points he's been using since the merger was first announced:
  • The "merger-to-monopoly" implications.
  • The rule in the 1997 license barring the two companies from merging.
  • The fact that neither company has used the "failing" company argument.
With regard to the merger conditions, Rehr said that they "will do nothing to resolve the anti-competitive effects that will result from the merger," (wait, isn't that the DOJ's job?) and that the conditions would not suffciently "overcome the inevitable harms of a satellite radio monopoly."

Not breaking from the same song-and-dance from 2007, Rehr finally noted that Sirius-XM's "history of non-compliance" should make the Commission wary of the proposal.

Here's my thought: After all these months of contemplation, why can't the NAB can't come up with any additional arguments?

This is the same stupid argument made by US Electronics. Because they deem that XM and Sirius haven't complied with certain aspects of their licensing mandates (as if the NAB ever had) what does this have to do with merits or lack of merits with the merger.

The NAB would do more of a favor to Broadcasters if they put a stop to HD Radio.
I know they think all radio going digital and being pay radio is good for Radio but it will take years and still Sat Radio is better.

Look out folks!!! We are headed to the courts. I can smell the crap frying like crap on a griddle. The NAB has almost succeeded in killing both companies, so a little court action will finish them off. And do believe for a moment that out liberal courts will not be pro NAB. Watch and learn.

The fact that terrestrial broadcasters are so terrified of SatRad is rock solid proof that there is no danger of a monopoly.

Besides, the fact that GS's recent analysis absolutely crushed the stocks of bothe companies basically ensured that the FCC has to allow the merger to go through.. because there's no way they can't deny the merger when XM is basically in a position where it looks like it's gonna tank without this merger.

Sirius is likely going to survive regardless. If the merger fails, then XM will eventually tank, and Sirius is going to be left the only one standing when the dust settles anyway. Whatever the case, they need to resolve this crap soon, so that the companies can move forward. The amount of delay we've seen for this merger is really an attrocity at this point.

If everyone is so sure about the merger, why is XMSR still 10% below it's 4.6 value?Riddle me that!

I understand that Martin and one person on the FCC board are pro merger. That still leaves Ms. Tate as the one hold out. That gal comes up for reappointment next year. Voting against the merger would result in 18 million angry subscibers contacting their Senators to have her not reappointed. She may be just playing a field a bit in order to satisfy the Dem's, but in the end she will go with the merger. This gal knows which side of her bread is buttered.

Personally, I can't wait for the day when the combined company files a petition. Wipes out the common shareholder, institutes commercials on all of their channels, and then awards a large chunk of the new company to the same management that was responsible for the merger and resulting bankruptcy.

Only to hear the entire group of current "pro-merger" special interest groups shareholders demanding an investigation into the FCC asking "How they could have ever APPROVED the merger in the first place."

There's no way this stock has much of a bump on merger approval. I mean, why hasn't it gone up in anticipation of an imminent approval? We got great news from Kevin, what everyone and their dog has been waiting for, and it did nothing sustainable; then it tanked on some asshole's opinion at GS, just like clockwork. Actually, I believe you problem is simple.. Your expectations were set WAY TOO HIGH!!

Now, If you had just a straight merger application, and license transfers. Then I would agree that the efficiency of the FCC could be questioned. But, This was not a straight merger application.. The two companies required an RULES CHANGE to allow the merger.

Now a rules change is a completely different animal than a simple merger application.

The time line that people set their expectations by were based on a simple 'merger application". But, they were uneducated or just too lazy to investigate the average time it takes the FCC to vote on a rules change.

The average timeline for a rules change is about 18 months from the filing of the NPRM to the final decision. So a decision on the rule change that would allow XM/SIRI to merge is just about going on AVERAGE.

Just because a small group of special interest shareholders demand to make a couple of bucks on their investment in a timely manner is no reason why the FCC should suddenly provide "priority processing" to their given Rules Change issues.

You guys aren't the first group of investors that died waiting for a Declaratory Ruling from the FCC. Heck Globalstar investors and bondholders waited 2.5 years waiting for a "NPRM approval" from the FCC. In the end. The Bondholders didn't even file a petition, but the company itself had to do so because they ran out of cash waiting for an FCC decision.

And this was a company that provided emergency Satellite communications services to Department of Homeland Security, DOJ, and other state and local First responders.

Not too many "First Responders" rely on Satellite Radio for critical emergency communications.

Merger does not get passed, it's another 50k gone. I thought 4.85 was in reach on a merger approval pop 6 months ago, but now I don't have a clue of what will happen on positive news or 6 months later if merged.

I think people will sell off on the announcement which probably will be a mistake. One thing for sure...95% of all have missed this. Newbies loaded up for January and now dump their shares exacerbating the GS downgrades and economy. Everyone, every time have played this Wrong so from now on... I'm going against the herd.

I continue to believe in satrad which has either shot their model in the foot, overpaid for OEM contacts or talent, have cut each other's legs off to pick up a GM, Toyota etc. This will change now. Then car sales slumped, then IPOD, then 4.00 gas, then the fucked up FCC and 17 months..... It's been a sad-sack comedy.

The point that can't be overlooked is that this mismanaged, undersold, under communicated technology still has 2.0 B in sales today! ... the problem isn't the top side, it's the spending and controls that this merger will stabilize. Remember XM making fun of Jack Piece when he left the board in disgust? ... Who's laughing now XM?

The economies of scale, the standardization of units, the combined ad power, the renegotiations of OEM contracts, the possible splitting into a commercial/non format leaves me thinking this easily is a 6-7 Billion sales model in 2015.

I think their BE on that will be 3.0 B leaving 70% gross earnings on 4.0 B or 2.8 B net pre tax. That values these shares, in 2015 @ 12 - 18 bucks each....without a buyback which would be assured. That, if true, makes my now 95K shares look pretty nice.

I think your right Plowboy. It's amazing how well Sirius is holding up (vs XM) given the poor economic climate right now. The economy will improve soon. It's funny how the so-called analysts never talk about that. When it comes down to it, this guy Rehr, and "the nab" has been the best friend satellite radio has had, by creating such negative publicity against his own industry. But it also shows the strength of satellite radio.

XM just got a 100 million credit from UBS - see 8k

This should take some pressure off stocks, hopefully.
