Report: Adelstein, Tate call for fines for Sirius-XM

Sirius XM merger

Deborah Taylor Tate has been pushing the FCC Enforcement Bureau to fine both XM Satellite Radio Holdings Inc. and Sirius Satellite Radio Inc., reports The Deal citing people close to the Commissioner.

Now Democratic commissioner Jonathan Adelstein has expressed his own concerns about violations by the satellite radio providers. Adelstein says that he wants the Commission to finish the enforcement proceeding before it approves the merger.

"We always do major enforcement issues first in major transactions before us, and I appreciate [Commissioner] Tate's focus on that," Adelstein told reporters. "There are major infractions of FCC rules on a wide-spread scale."

Those "major infractions" include:

1. Receivers that have FM transmitters that exceed FCC limits.
2. Repeater towers that either aren't in FCC approved locations or are emitting signals that are too strong.
3. Additionally, the WSJ Deal Journal reports that the issue of interoperable not getting to market is a concern.

Tate reportedly is considered to have similar enforcement concerns. Oddly enough, these concerns mimic those made by the NAB.

Adelstein reiterated his position for an independent committee to monitor compliance, adding that he hoped it would be similar to the Federal Trade Commission which employs independent review trustees to oversee merger conditions.

Tate doesn't seem to be able to think for herself. Being a leader, if I may say that, means using your own judgement and being responsible in making tough decisions. I don't see Tate as a leader but, a follower. She should be voted out at the next opportunity.

Right now, according to reporting from colleague Amy Schatz, the vote stands 2 to 1, with Commissioner Michael Copps voting against it as expected, and chairman Kevin Martin and commissioner Robert McDowell voting for it.

Of course, as Sun Tzu would say, the enemy fights hardest when it is cornered. The fact that the commissioners are pushing for fines may be an actual indication of faith that the merger will go through. Otherwise, it is difficult to see why they would bother.

If there was ever a poster child for ineffective, wasteful, bureaucratic red-tape, inefficient gov't programs- its the FCC's review of this pending merger. I mean, my god, how horribly run is this gov't agency when they can take nearly 500 days to approve a merger and then after 2 people vote for it- a commissioner bring up FINES?

I knew the second I saw that bitch's face that she was trouble. Where were these fines when the alleged "major infractions" occured? The FCC should be fined and forced to pay restitution to Sirius/XM for the damage they have caused both companies! You talk about infractions; the FCC has tossed out all of their usual protocals in order to drag this merger decision out....indefinitely. What a bunch of despicable people, and what a farce this FCC is. This is all part of a grand scheme to cripple satellite radio as much as they possibly can, with absolutely no accountability to ANYBODY! If there is a hell, and I hope there is, I hope these people roast for a long time!

I have to agree with the posters who say that all of this FCC rhetoric about fines is simply window dressing before they approve the merger with maybe maybe some small additional conditions. By holding out until the last minute the FCC commissioners can save face and say that they reviewed it until the eleventh hour giving it all due dilligence. IMO it's going to be approved in the next couple days. This is how Washington works!

Tate is just like every other FCC commissioner over the past several years, if not decades--political appointees whose only allegience is to whomever put them there. Tate is another smiley-faced robot like Abernathy, reading off a teleprompter whenever she talks. She hasn't a clue; my feeling is in the end she'll vote for the merger, under pressures from her GOP colleagues.

Would you people do your job and decide on what you want to do with this merger. This is ridiculous. I have never seen something take so bloody long. Do they have no concept of time? Everyone who caused this to drag on so long... *cough* RIAA, NAB, etc *cough* ...should be fined for their bs.

I wish the courts would move in with some sort of injunction that would overpower the FCC, and make this merger final.

This is an outrage that this issue has been allowed to go on for this amount of time. Jessie Jackson and his gang of thugs (Georgetown Partners) eg NAB mouth pieces have been manipulating this process from the day one.

The most outrageous thing of all is the fact that they use consumer protection as the reason for the delay. What a laugh that is. As far as minority programming, the only minority I know the NAB hires is drug addicts like Rush Downer Limbaugh for 400 million.

Presumably, the independent committee would be paid for by XM-Sirius funds but be approved by FCC officials.

TATE HAS VOTED! She agrees with Adelstein's proposal for the most part with the exception of the set-aside fractions. She has proposed 20% for minority programming and 5% for non-commercial programming. HD Radios - yes. 6 year price freeze - yes. plus she wants to stop the fcc clock until the companies remedy the outstanding complaints against them.

This is ridiculous. They obviously didn't even look at this merger until June. I predict that the merger is approved, with conditions, by August 6th. It looks like there may be fines levied against the merged company in addition to some price restrictions. I am hoping that someone at the FCC has the sense to realize that 6 years is completely unrealistic in a technology based industry. I have lost faith in process and government regulatory bodies. THIS IS ONLY A 3BILLION DOLLAR DEAL. IT IS RADIO AND VIDEO. The number of competitors in these markets is astronomical. With the technological advances occurring these days the decision is a no brainer. APPROVE with NO CONDITIONS.

Did you know?? The average time it takes the FCC to approve an NPRM is 700 days after issuance?

That's the average folks. So the fact that they the votes have stated coming in before day 400 is a testament to the priority the FCC has assigned the outcome of the NPRM that lies before the FCC that will ultimately lead to either an adoption or the merger, or a disapproval.

It amazes me the lack of education and laziness most of the posters on these blogs possess. It's like they didn't even take a few seconds to do a little research to get an idea of when a decision on the NPRM could be expected. Even the "proprietor's" of "shill sites" such as this one continue to provide a disservice to it's readers by feeding it's readers with false expectations. Shame on who ever runs this site.

Next time, I suggest that maybe, just maybe, people should stop being a bunch of lazy uneducated investors and do a little bit of research on the issue. Sure, management made you all kinds of promises about closing dates last year. But, they argued against the issuance of the normal procedural NPRM process, and requested a simple adjudicated decision. Which of course was never going to happen.

The truth is... Your management had the responsibility to set youR expectations accordingly. But, they just decided to tell you exactly what you want to hear. This could work either way as an out for the FCC.....the fine will be rather exorbitant that if these companies need to merge so bad that the FCC will force them to pay for it, and wouldn't be surprised some of that money doesn't get kicked back into someone elses hands....and if the companies refuse to pay the fine, the FCC has an out by saying, "don't blame us....we said you could have your merger, just as long as you paid these fines (that we knew you wouldn't be able to pay)". At which point Sirius & XM will have to call their bluff and pay the fines. It's a game of "just how bad do you need to merge and what are you willing to pay for it?"

The situation about the interoperable radio could be a thing where the FCC comes out and tells the companies to cooperate with each other to put the interoperable radio on the market first and, if needed, they can revisit the issue to merge in 2 or 3 years. I also agree with a recent poster that says I wouldn't doubt that the merger doesn't take place because some 3rd party will come in and buy one of the 2 companies before we even see a decision from the FCC.

If satelitte radio and this merger disturbes you so much ( and why it would is a mystery - you don't subscribe, you don't listen to it, and you are not an investor), why don't you just chill out. It won't be easy, because there just aren't enough commercials and they play way too many songs. That whole thing with FM signals being to strong, is bullshit. If the FCC had a legit reason to control wireless FM transmitter strengths, they shouldn't have allowed companies to market stronger ones, that can fill your whole house.(for example) As for the repeaters, they where probably just to busy at tryiing to make their services better.

Lets hope HEAVY FINES, JAIL TIME, FCC LICENSE'S PULLED, and a BIG OLD NO! to "merge" MONOPOLY scheme's

Good - let them push the interoperable receiver, instead of trying to mandate HD Radio in all Satrad receivers, which is absurd. Such a receiver would be too complex and expensive and never make it to the marketplace.

The Commission has recognized that terrestrial repeaters are critical to enable SDARS licensees to overcome the effects of signal blockage and multipath interference. Consistent with this policy, in September 2001, the Bureau granted XM an STA to operate a network of terrestrial repeaters while the Commission concluded its rulemaking proceeding regarding final technical rules for the service. In granting this STA, the Bureau recognized that XM "needs to employ terrestrial repeaters to provide adequate service." See XM STA Order 7. Soon after grant of this STA, XM began providing commercial satellite radio service. Since that time, satellite radio has proven to be a highly attractive service to American consumers, confirming the Commission's vision in establishing the satellite radio service. As of today, XM has over 7 million subscribers (roughly 15 million listeners).

In light of the above, XM urges the Bureau to grant the requested Specail Temporary Authority in the public interest. An expeditious grant will permit XM to continue to provide a valuable entertainment and information service to millions of American consumers with the same quality of service they have come to expect. As demonstrated by XM's previous operations, there is no risk of causing harmful interference to other services or licensees and, to the extent any such interference should develop, XM accepts its obligation to remedy the situation immediately.

Just because certain FCC members are worried about their reinstatement to the committee, doesn't give them the authority to be ruled by lobbiest instead of common wisdom. These commest lately make me considered, not as a shareholder, but as an American. Oblivously there is competition to satillite radio, but some have used it as it an excuse to line their pockets and/or create an influence upon others. God bless you all!!!!

Let's talk fines. For the FM Transmiiters, the satellite companies should pay fines as soon as the FCC fines the I pod hook ups and the new HD radio plug and plays. And the manufacturer should pay most of the fine...done.

The repeaters. Pay a small fine. Remember that the repeaters operate on frequencies exclusively for satellite radio. Big issues would cause them to interfere with their own networks, so this is small potatoes. Also the companies turned themselves in, shut down some repeaters and asked for temporary authority to operate others while things were worked out. Finally, many of these appear to be clerical errors with the coordinates, and sometimes the error came from other tower users who ALSO had the same error. (GIGO)

Finally the interoperable. No pay for a fine. The companies have stated several time that they believe they are in compliance with the rule. (Too bad if the rule is poorly written). Further the FCC in several YEARS has not advised them of any non compliance. No Pay. IF the FCC insists, merge and sort it out in court. I think the company would win.

Why would the FCC not handle this at a previous date? Why would you use this as leverage at this time? The issues should have been handled during the DOJ review..

This is outrageous and I demand an investigation.

"Pioneer Reiterates Position Against HD Chip Requirement"

Pioneer has been very vocal in their position with one particular “concession” that has been a frequent subject of the proposed merger between Sirius and XM. The audio equipment manufacturer believes that there should be no requirement to install HD radio chipsets in all SDARS receivers.

Pioneer met with the democrat commissioners (Copps and Adelstein) on Monday, July 21, 2008. This happens to be the same day that commissioner Copps rendered his decision to vote against the merger without taking the opportunity to offer a counter proposal for consideration.

It is Pioneers position that manufacturers should not be required to include HD Radio chipsets into SDARS receivers, and that in fact, a free market should determine whether or not these chipsets are installed.

One item to note is that Pioneer did not meet with commissioner Tate. Tate is widely seen as being the third vote needed for the merger to gain approval, and the fact that Pioneer did not meet with her may be indicative that she sides with the Pioneer position with regard to this issue.

it looks like a lawsuit has been filed in the federal court system and was dated july 16th.

have read through four documents thus far, based upon what i understand currently. at least one person within the fcc had access to these documents in mid-june and some of the supporting information.

it centers around the past actions or inactions of the three companies central to this merger and the interoperable/dual device issue ...and its effects on shareholders in both companys..

the filing takes a very polite shot at the fcc by mentioning some of merger related process's underway.along with the failure to enforce the device mandate.

does randall mays still have ties to the xm board? as he was also mentioned as a defendant.

At this point, Karmazin should tell them to go piss on themselves, walk away, and sell Sirius off to a communications-based enterprise that can capitalize it properly. XM should do the same. The FCC is 100% justified in their actions, and deserve respect. Not a bunch of ignorant comments by idiot investors who made bad, risky and failed investments, or by a bunch of comments by blind, ignorant satradio fanboys. The FCC are doing their JOBS. Just hope all the degrading and ignorant comments are being used against the blind, ignorant, satradio fanboys. One look here at Orbitcast more than proves the satradio minority (in the big picture of radio listeners) subscribers have proven their blind, ignorance, and desperation for anti-consumer actions. The satradio industry with all it's brazen, flagrant and major infractions of FCC rules on a wide-spread scale, now wants what is equal to a government buyout, due to years of poor management.
