Report: Adelstein to approve merger if new conditions are met

The Associated Press is reporting that FCC Commission Jonathan Adelstein will vote in favor of the merger between Sirius Satellite Radio Inc. and XM Satellite Radio Holdings Inc. if the companies agree to certain additional conditions.

Adelstein wants the companies to cap prices for six years and make one quarter of their combined spectrum available for public interest and minority programming, among other conditions.

If the Sirius-XM agree, Adelstein told the AP that he will be in favor of the deal.

"It's critical that if we're going to allow a monopoly, that we put in adequate consumer protections and make sure they're enforced," Adelstein said. Adelstein circulated his recommended conditions among the other four commissioners Thursday.

So the new entity has to give up 1/4 of their company, have no price flexiblilty for 6 years PLUS other additional concessions?? So this is a breakup of the company then.. You have to pay taxes before you can get them back. What you're refering to is the welfare checks you've been getting all these years that allows you to pay for your dial up AOL service.

The 25% "public interest" channels would be transmitted free of charge and could be received without a subscription. They would in effect be NAB associates. They would then start adding all sorts of advertising to the point that they would become revenue bearing to the broadcasters of those channels, but not to the satrad carrier. Bottom line would be that Sirius would loose 25% of it's value. The more channels that would be added to the satrad carrier then the more money that the public interest channels would make and it would all be provided to them for free. As always, when Sirius gets guys like that in their pants they would never be able to get them out. The whole merger has got to be refused if 25% of the channels are to be lost. I would be far more agreeable to a six year lockdown of the subscription rates, but only if cable TV and such would also agree to a similar restriction on their rates. Have you noticed how much your cable bill has gone up during the past six years?

As a shareholder there's no way I can go for a 6-year price cap. That's way too consumer friendly while selling us with an investment riding on the line down the river. What happens if there's cost increases incurred by the company? If it's going to be that way, then I say reject the deal, let XM go under and Sirius will be the only player in town and won't have to worry about any sort of price cap or public interest channels. Or there'd better be some sort of loophole around that 6-year price cap.

I find it interesting this concept of "minority programming." It is as if we are still in the 1950s. Is it the attitude that the Metropolitan Opera programming on satellite is only for white, non-black, non-hispanic people? How about hip hop music programming? Is a white person not supposed to enjoy that? How about NPR? How about BBC news? I am all for programming and a society which is fully inclusive, and I think programming specifically aimed at one ethnic group, gays, straights, old, young, etc. is fine, but what about considering "general population" programming as being in the best interest of all divergent groups? Actually, when money is to be made, it doesn't matter what I think; it doesn't matter what you think. It only matters if you can create a market, even if one is not needed. Good luck to all of us!

Adelstein, a democrat commissioner, was not widely considered as one of the commissioners that would support the merger. By Adelstein putting an offer on the table, there is perhaps a bit of insurance for the merger to proceed if republican commissioner Tate for some reason seeks even more stringent concessions.

Adelstein is asking that additional concessions be added to the deal in order to gain his support. Adelstein is said to be seeking:

Pricing cap for six years instead of three.
Commitment of 25% of the spectrum for informational and minority programming.
Other requirements that were not specified
There were no details offered on whether the 25% of the spectrum would be under control of the merged entity.

In reference to the issue Adelstein stated, “It’s critical that if we’re going to allow a monopoly, that we put in adequate consumer protections and make sure they’re enforced.”

This latest news now puts commissioner Tate in even more of a spotlight than she was previously. Conventional thinking would have many believe that Tate would seek fewer concessions that Adelstein. Because of this, part of the finalized picture can now begin to take shape, and the street can begin to extrapolate where the conditions will fall.

Sirius and XM have not offered any official response to the Adelstein proposal. For quite some time it has been insinuated that giving back too much spectrum would be a deal breaker. Exactly where the spectrum line is drawn is unknown, but estimates in the neighborhood of 10% have been popular.

When I invested in satellite radio (a commercial entity) and purchased a subscription, I did not intend to invest in a charity (Georgetown Partners) or want my subscription dollars to subsidize a charity. If I wanted to do that, I would have donated my money to a cause of my choosing. I do not want the FCC making that choice for me, nor do I want the FCC to insist on the inclusion of a competitors hardware be installed in satellite radios hardware, or give away 20% of my investment. Non of this makes any business sense and is just ludicrous.
It is time for the FCC to put an end to this nonsense and approve this merger without conditions, immediately.

As long as it is not a monopoly they should have the same set a-sides that TV, Cable and Traditional Radio have. (much less % than asked for) There is nor fair reason why they should have double the requirements as everyone else AND be paying royalties.

The real negotiation problem here is that Mel already gave up spectrum (gave an inch) and now they are asking for triple that (take a mile). You never give up the concesion until the end days. You say we 'might' be willing to do that. Once it was already agreed to than you knew everyone would ask for 'more'.

First rule of negotiation - 'If I, will you". Otherwise you always get double-dipped.

This deal should be set exactly like all other media deals in regards to set asides.
Otherwise all other deals should have to be upgraded(burdened) too.

In order to get an idea of what Sirius and XM have invested in 25% of their spectrum I added each company's revenue from 2002 to 2007 which amounted to $4,866,258,000. Since neither company has posted a profit I also added their combined total debt of $2,960,000,000. Combined, this equals $7,826,258,000 and 25% of this figure is $1,956,564,500.

Senator Markey and Commissioner Adelstein want Sirius and XM to hand over 25% of their spectrum in which these companies have invested $1,956,564,500 since 2002. This figure does not even include the money invested into the spectrum from 1997, when Sirius and XM paid the highest bid during the open auction for this spectrum, through 2001. I believe 8% of the spectrum being reserved for non-commercial programming is more than enough. Currently, this would equate to approximately 24 channels. Using my calculations, Sirius and XM have invested $626,100,640 for this 8% of spectrum, not to mention how much future revenue this would cost the company.
