
There's a new gang of 14 on the block, this time consisting of fourteen State Attorneys General offices, who consistently are launching an opposition campaign against the Sirius Satellite Radio Inc. and XM Satellite Radio Holdings Inc. merger.
Just as they did with Commissioner Tate the State AGs - led by Connecticut Attorney General Richard Blumenthal - met telephonically on Monday with Commissioner Michael Copps (pictured) and his Senior Legal Advisor.
The topic of discussion was essentially the same as with Tate - they generally oppose the merger, but demand 20% of spectrum and HD Radio inclusion if it should be approved. This time, though, the letter (PDF) submitted to the FCC is worded far more strongly.
Interestingly, the State Attorneys General also continue to employ a "localism" tactic in appealing to the Commissioners.
In the letter sent to Tate, the charge was led by Tennessee State AG Robert Cooper. Tennessee just happens to be Tate's home state. Now in this most recent assault, Blumenthal is marching alongside Washington State AG Robert McKenna.
And Washington - you guessed it - served as home to Commissioner Copps when he moved there in 1970 to work under Senator Fritz Hollings (D-SC) for over a dozen years.

Jon, Gregg - Part of the reason the State Attorney Generals are getting involved is because the DOJ completely blew them off during its merger review process. Common practice for decades is for the DOJ to inform the State AGs of what othe DOJ thinks about the evidence, and to give them a heads up about how the DOJ intends to handle a particular case. Typically the DOJ does this because it doesn't want to be embarrassed by a lawsuit later filed by the State AGs, which is what happened in the Microsoft case. In the XM-Sirius case, DOJ never informed the State AGs before issuing its decision, so that angered many of the State AGs. Apparently, from this letter, many of the State AGs also just disagree with the logic of the DOJ's decision, which if you know anything about antitrust law, was a big departure from DOJ precedent in other mergers. DOJ did not follow its own merger guidelines, for the first time in recent memory. And, for example, it said that XM and Sirius do not compete with each other because its expensive and burdensome for subscribers to switch from one service to the other, without recognizing the fact that XM and Sirius helped create this burden by not complying with the FCC's rule to sell interoperable radios. Its also been reported that the higher-up political appointees at DOJ probably overruled the recommendations of DOJ's expert staff to deny the merger (something that's been reported at many federal agencies under the Bush Admin). Plus, the DOJ leadership is on the way out soon, so the State AG's might figure what have they got to lose.

HEY Sirius jerkoff, this whole deal that is going on is bigger then the "my company will win" crap. You might want to look at the balance sheet(s) of both companies, and stock value(s). Sirius stock is now on the verge of being delisted. Do you think that everyone is going to rush out and buy your shitty dog radios the moment that XM would go offline? People that own cars that came with XM installed have to buy conversion equipment now to make the radio(s) work. I won't bother with my home equipment. Hey NAB Jose you just showed your cards. If the problem was that XM and Sirius violated an FCC rule by not "selling" an interoperable radio, then that could be rectified through the FCC. But NAB Jose, you know that wasn't the requirement. XM and Sirius complied with the FCC rule by developing such a radio. They filed their compliance with that rule years ago. While its true the FCC may have intended XM and Sirius to actually market the radio, that isn't what the rule required and its why XM and Sirius haven't been held in violation of the rule. There are very real economic reasons why they didn't market the radio which you know very well as I'm sure its been discussed at the NAB, Jose....
The fact is, the AG's are involved because they and their governors are big fans of the advertisement and access they get through their local broadcast stations to their constituencies. They also like broadcaster donations. This has NOTHING to do with the DOJ's analysis, although I'm certain the NAB and the AG's would like to say so.
Very glad to see that my state is not on that list. I'm also glad to see that my state congressman, who signed an earlier letter, will be losing his bid for the senate this Fall (based on current polls).

Unlike cable tv and cell phones, we could choose from a la carte programming and change or cancel our subcriptions without penalty. Isn't it odd that you are trying to 'protect' us from this? I could actually SAVE money from this merger by being able to consolidate radios, subscriptions, etc.

Imagine having to buy 2 different receivers to enjoy the NFL, MLB, commercial-free music, etc. Your arguement that XM and Sirius didn't stand by their pledge to make an interoperable receiver is bogus. They complied. What you forget is XM and Sirius subsidized the cost of their receivers to make the less expensive. They couldn't do that with an interoperable receiver.
The HD radio inclusion is a clear tip-off that the NAB is behind your letter. Why is 'free radio' having such a hard time competing? Who would have thought that a free service would be in such dire condition?
Due to the delays from politicians and lobbyists - most of which don't even subscribe to the service - consumers are more confused than ever. I personally have held off buying a car in the hope that this gets resolved and I can get a receiver that picks up the newly merged company.
I urge you to have your staff look through the comments at the FCC website under proceeding 07-57 and look at thousands of comments from every day people like myself who want this merger and are upset at the delay.

It won't necessarily delay things any more -- this is largely the same state AG's that have been opposed to the merger all along. There's a few more now, but for the most part -- it's the same AG's bringing up the same arguments.
Maybe I am missing somethign here.. I still don't understand the request for the HD Radio capability in the radios. It is counter to their entire monopoly argument.
If they aren't competing with HD Radio.. why the requirement request?
If this is granted, why wouldn't the camera companies ask to have a camera installed in the radios. Or to an extreme.. Dunkin Donuts should ask for a jelly donut for each radio. Since there is no competition, then the jelly donut has as much reason to being there as the HD Radio connect.

The whole thing is puzzling - I emailed Rob McKenna and said I didn't support his opposition to the merger .... the letter I got back was a lot weaker that what is being sent to the FCC and just said they're trying to get a better deal for consumers and asking merging companies for concessions was not unusual. There was no mention of seeking outright denial of the merger. So I'm not sure the gang of 14 are even reading the letters that are being sent on their behalf.

The sad fact over all of this is that the FCC is deliberately killing both of these companies by not making a decision. This appears to be the grand scheme all along. It really does not matter whether the deal is ultimately approved or not at this point in time. The NAB and its big polictical pockets is winning (and will continue to win). Let's face it. TORONTO (Reuters) - XM Canada, the Canadian licensee of XM Satellite Radio Inc, posted a wider third-quarter loss on Thursday, but said its subscriber base jumped 58 percent and it achieved positive cash flow for the first time.
The satellite radio company said it lost C$18.8 million ($18.6 million), or 39 Canadian cents a share, in the three months ended May 31. That was worse than the loss of C$13.3 million, or 28 Canadian cents a share, in the same period a year earlier.
The company said total revenue rose to C$10.3 million from C$5.7 million a year earlier and that its subscriber base rose to 439,000 in the quarter.
It also said it booked C$300,000 of positive cashflow, adding: "this milestone was attained in only two and a half years."
XM Canada said its average monthly subscription revenue per user rose to C$11.99 from C$11.70 a year earlier.
"Much of this growth is attributable to an increasing proportion of our subscribers transitioning from our previous basic monthly subscription price of $12.99 to the current price of $14.99," the company said.
XM Canada's shares haven't traded since Tuesday, when they changed hands at C$3.80.

If satrad was mandated to have the HD chipset on board then Apple would have an even better case in demanding that all satrad receivers have an IPod docking arrangement. There have been hundreds of millions of IPods sold yet no such request from Apple. Exactly how many HD stations are there? I live in Tallahassee, FL, the capital, and we don't have one operating HD station, but I bet you there are 200,000+ Ipods in this town.
I know the AG's are under trmendous pressure from the NAB if they are to ever have free air time again for the Democratic party, but these guys have got ot get some balls at some time in their lives and simply say No to the NAB. They are being made out to be the NAB's bitches.

Still no HD station in Talllahassee, the capital of Florida where's there's two state universities and several community colleges. College students make up a significant part of radio listeners, but they aren't listening to HD radio here 'cause there's none to be heard. On the other hand, I see a lot of cars with satrad antenna 'pucks' on their roof. One station is bound to make it sooner or later, maybe.
Let us remember this.

Let us all work to dissolve this corrupt organazation. They don't rule in favor of public interest because they can't do this. They are truly afraid to make any move that is not condoned and approved by the politicians that control them. They are immobilized and incapable of making a decision. For all we know, they could be fearful for their livelyhoods. Maybe, they are afraid they will lose their jobs if they make a desicion that is not approved by their controllers. We must forgive them for this weakness. It's not their fault. They have families to support.
The lobbyist and politicians are really in charge. The comment period was a necessary delay. It was put in place to give the NAB and their deep pocket supporter time to get their arguments together. What is happening now is all part of the process they put in place last year by the NAB.
The merger will happen when everyone on the FCC panel gets PAID.
Lets not forget their names. Lets all agree that we will band together to show them that it is wrong to go against public interest. Let's show them that we will never forget their dishonesty and deceptive, wishy washy, stalling tactics.

Decline in Terrestrial Radio Audience
In an average week, 230 million Americans tune in to traditional radio. A large audience to be sure, but one in sharp decline from just five years ago. During the heady days of radio consolidation during the late 90s, stations increased their spot loads and promotional clutter. Listeners got annoyed, resulting in lower AQH ratings and time listening. During this same period, new on-demand devices, like MP3 players, were introduced and gained popular momentum. According to Billboard Radio Monitor, the number of ears listening [to terrestrial radio] every day has slowly slipped to about what it was in 1994. The audience of 18- to 24-year olds, a demographic particularly beloved by advertisers, has fallen nearly 22% since 1999. The sharp decline in radio advertising revenue reflects this change: In the radio expansion period of 1996-2000, total radio revenue (excluding network radio) grew 12%. Yet from 2000-2004, the increase was a meager .3%.

If Sirius could strike a deal to get their radios installed in the pacemakers of all the geriatric stumble bums who are pondering over this merger, satellite radio would be assured a promising future. Of course, there would be conditions/concessions; their pacemakers would also have to have HD radio and, perhaps, the CLAPPER built in so that these old farts could turn the damn thing on and off! How in the hell can a rational, logical and fair decision be rendered when so many of the opinions being considered are sourced from senile, wretched looking alzheimer victims who look - from the pictures - that they are ready to drop dead. I have total respect for the elderly, but this is absolutely absurd!

The 'Real' Story Behind the XM/Sirius Merger

I am both a satellite radio listener (consumer) and a major shareholder in Sirius (SIRI). As an investor, I have studied the technology and closely followed Sirius’ operations and those of XM Satellite Radio (XMSR) - its only competitor. I have also read its filings made over the years with the SEC and I not only have closely followed the merger proposal and the application Sirius and XM made for its approval to the FCC, but have actively participated in that proceeding.
Back in March 2007, approximately, I filed a Petition for Declaratory Ruling with the FCC asking it to determine whether the two companies had complied with the condition the FCC imposed on both XM and Sirius when it granted each their licenses in 1997. That condition, which many consumers and individual shareholders may still be unaware of, required the companies provide an interoperable radio that would permit consumers to receive either XM or Sirius service from a single satellite radio receiver.
I filed the Petition for Declaratory Ruling at the FCC because, though ten years has passed since the FCC imposed the condition and long after XM and Sirius became operational, consumers still do not have access to an interoperable radio capable of receiving services from both companies. Moreover, shareholders have been kept in the dark about the impact that providing an interoperable radio would have on both companies' financial performance.
For consumers, one example of the adverse consequences of not having interoperable radios occurred on January 1, 2007 - to NASCAR fans. These listeners purchased XM radios because it provided NASCAR coverage. But when Sirius acquired the rights to broadcast NASCAR events, these listeners were forced to purchase new equipment, switch their service contracts to Sirius and lose their other XM services. Had the companies complied with the FCC’s interoperable radio requirement, these satellite radio consumers would not have been forced to buy new equipment or choose other programming offers in order to retain NASCAR programming.
Both XM and Sirius were well aware of the potential that interoperability provided not only for consumers, but also for the fortunes of both companies. In settling patent litigation between the two companies in 2000, a press release on February 16, 2000 stated:
